Overview
These Terms of Service (“Terms”) govern your engagement with Avid Creations ABN 14 346 078 425 (“we”, “us”, or “our”), a digital marketing agency based in South Australia, Australia. By engaging our services, you agree to these Terms.
1. Our Services
Avid Creations provides professional digital marketing services including but not limited to:
- Google Ads campaign management and optimisation
- Meta (Facebook and Instagram) advertising management
- Google Analytics 4 (GA4) and conversion tracking setup
- Search engine optimisation (SEO) support
- Social media content and advertising strategy
- Digital marketing consulting
We use tools including the Google Ads API to manage client advertising accounts on a professional basis.
2. Client Responsibilities
By engaging Avid Creations, you agree to:
- Provide accurate and complete information about your business, products, and services
- Grant us necessary access to advertising accounts, analytics platforms, and relevant tools required to deliver services
- Ensure that your business, products, and services comply with all applicable laws and the advertising policies of relevant platforms including Google and Meta
- Review and approve campaign materials, budgets, and strategies in a timely manner
- Notify us promptly of any changes to your business that may affect campaign delivery
3. Account Access and Data
Where you grant Avid Creations access to your Google Ads, Meta, or other advertising accounts:
- Access is used solely for the purpose of delivering agreed services
- We will not make changes beyond the scope of the agreed engagement without your authorisation
- Access will be revoked or returned to you upon termination of our engagement
- You retain ownership of all advertising accounts, data, and creative assets associated with your business
4. Fees and Payment
- Service fees are outlined in your individual proposal or service agreement
- Invoices are issued in Australian dollars and are subject to GST where applicable
- Payment terms are as specified in your service agreement; late payments may result in suspension of services
- Advertising spend budgets are separate from management fees and are paid directly to the relevant platform (e.g. Google, Meta) unless otherwise agreed in writing
5. Intellectual Property
- Ad copy, creative strategy, and campaign structures developed by Avid Creations remain our intellectual property until full payment is received, after which they are transferred to the client
- You warrant that any materials, logos, images, or content you provide to us do not infringe the intellectual property rights of any third party
- We reserve the right to reference your business as a client for portfolio or case study purposes unless you request otherwise in writing
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement. This obligation survives termination of the service relationship.
7. Performance and Results
- We apply best-practice strategies and expertise to all campaigns, however we do not guarantee specific advertising results, including revenue outcomes, lead volumes, or return on ad spend
- Campaign performance is subject to factors outside our control including platform algorithm changes, market conditions, competitor activity, and budget levels
- We will communicate performance transparently and recommend adjustments where appropriate
8. Limitation of Liability
To the maximum extent permitted by Australian law:
- Avid Creations is not liable for indirect, incidental, or consequential losses arising from the use of our services
- Our total liability in connection with any engagement is limited to the fees paid by you in the three months preceding the relevant claim
- We are not responsible for platform policy changes, account suspensions, or decisions made by Google, Meta, or other third-party platforms
9. Termination
- Either party may terminate the service engagement by providing written notice as specified in your service agreement
- Upon termination, outstanding invoices become immediately payable
- We will return access to all client-owned accounts and assets promptly upon termination
10. Governing Law
These Terms are governed by the laws of South Australia, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of South Australia.
11. Changes to These Terms
We may update these Terms from time to time. The date at the top of this page reflects when they were last revised. Continued engagement with our services constitutes acceptance of any updated Terms.
